SOFTWARE LOAN OF PRODUCTS AGREEMENT WITH AUTOMATION TECHNOLOGY, INC.

1.0  TERMS OF AGREEMENT

For the purpose of loaning Software, ATI and you ("Customer") agree that ATI will supply product software ("Products") for the purpose of evaluation as itemized in the attached order form. ATI will provide Customer with a Software Loan License, a temporary license granted to Customer, at no charge, for purposes of evaluating software. It should not be utilized for other purposes. This agreement will remain in effect for a period of one month or until such written notice is given by Customer to ATI requesting termination, which ever comes first.

1.1
ATI will provide and deliver the Products to Customer’s location at ATI’s expense.

1.2
The Products are the property of ATI and shall remain so throughout the term of the Agreement.  Customer agrees to take no action regarding the Products inconsistent with ATI’s ownership.

1.3
Software is provided subject to the terms of the shrink-wrap license agreement on the envelope containing the software media.

1.4
The loaned Software is limited to one standalone Processor at a specified location. The loaned Software is not transferable to any other party.

1.5
Customer may load and execute the Software, in whole or in part, only as necessary for execution on the Processor. If the Processor malfunctions, Customer may use the software on another single processor on a temporary basis. Customer may make archival copies of the software as provided in the Copyright Law of the United States.

1.6
Customer may make the Software loaned under this agreement available to its employees to the extent needed to exercise its license hereunder. ATI transfers no title or ownership of the Software to Customer. The Software and the information it contains are licensed to Customer pursuant to a confidential relationship. Customer shall not decompile or reverse assemble the Software, or analyze or otherwise examine it for reverse engineering of the Software or for reverse engineering of any implementation of the Software.

1.7
ATI may terminate any loan license if Customer neglects or fails to perform or observe any of its obligations to ATI under this Agreement. Customer agrees, upon notice of such termination of this Agreement, to set obligations listed in Section 2.0.

1.8
ALL PRODUCTS FURNISHED UNDER THIS AGREEMENT ARE PROVIDED "AS IS". ATI DISCLAIMS WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS. IN NO EVENT WILL ATI BE LIABLE TO CUSTOMER FOR ANY DAMAGES WHAT SO EVER. THIS LIMITATION OF ATI’S LIABILITY WILL APPLY REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT OR TORT INCLUDING NEGLIGENCE.

2.0  COMPLETION OF TERM OF AGREEMENT

WHEREAS, ATI and Customer executed a Loan of Products Agreement
whereby ATI furnished to Customer ATI’s Product Software for evaluation
by Customer, and WHEREAS, either the Agreement or the software
license(s) granted therein have expired or have been terminated;
Customer agrees to the following options:

2.1
WHEREAS, when Customer desires to obtain from ATI a license to use the Software, ATI and the Customer agree as follows:

2.1.1
ATI grants to Customer a license to use the Software in accordance with ATI’s current Standard Terms and Conditions, or other applicable agreement between the parties.
 
2.1.2
Customer shall issue to ATI a purchase order for the Software license(s) and shall pay to ATI the applicable license fee as mutually agreed upon by both organizations.

2.2
WHEREAS, when Customer chooses not to purchase a license to use the Software, ATI and Customer agree as follows:

2.2.1
Customer thereby certifies that upon completion of the loan period for each software product loaned, Customer will return all copies of software and documentation in their possession or control, including archival copies, whether these copies were created by the undersigned or other parties.

2.2.2
Customer further certifies that it will not make any use of the software subject to the above certification at any time in the future and that it will destroy copies of any such software it discovers in the future.

This Agreement is governed by the laws of California.
